By accessing, browsing, or using the Skyvertex website (skyvertex.ro) and any services provided by Skyvertex SRL (“Company,” “we,” “us,” or “our”), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you must discontinue use of our website and services immediately. These Terms constitute a legally binding agreement between you and Skyvertex SRL.

The specific scope, deliverables, timelines, and fees for each engagement are defined in individual project agreements or statements of work (“SOW”) signed by both parties. In the event of a conflict between these Terms and a signed SOW, the SOW shall prevail with respect to the specific project.

Unless otherwise agreed in a written project agreement, all intellectual property rights in custom deliverables created specifically for the client shall transfer to the client upon receipt of full payment. This transfer does not include:
Skyvertex retains the right to showcase completed work in its portfolio and marketing materials unless the client explicitly requests otherwise in writing.
Payment terms are defined in the applicable SOW or project agreement. Unless otherwise specified:
Skyvertex reserves the right to suspend or halt work on any project with overdue payments until the outstanding balance is settled.
Skyvertex warrants that all services will be performed in a professional and workmanlike manner consistent with generally accepted industry standards. We provide a 30-day warranty period after delivery during which we will fix defects in our deliverables at no additional cost.
Beyond this warranty, services and deliverables are provided “as is” without any express or implied warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Skyvertex does not guarantee that any website or application will be free from errors, interruptions, or security vulnerabilities.
To the maximum extent permitted by applicable law, Skyvertex's total aggregate liability arising out of or related to these Terms or any services provided shall not exceed the total amount paid by the client to Skyvertex for the specific services giving rise to the claim during the twelve (12) months preceding the claim.
In no event shall Skyvertex be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, regardless of whether such damages were foreseeable or whether Skyvertex was advised of their possibility.
Both parties agree to maintain the confidentiality of all proprietary and sensitive information disclosed during the course of the engagement (“Confidential Information”). This includes, but is not limited to, business plans, technical specifications, customer data, pricing information, and trade secrets.
Confidential Information shall not be disclosed to any third party without the prior written consent of the disclosing party, except as required by law or court order. This confidentiality obligation survives the termination of any agreement for a period of three (3) years.
Either party may terminate an engagement by providing 30 days written notice to the other party. Upon termination:
Either party may terminate immediately upon written notice if the other party materially breaches these Terms and fails to cure such breach within 14 days of receiving written notice of the breach.
Neither party shall be liable for any failure or delay in performing its obligations under these Terms if such failure or delay results from circumstances beyond the reasonable control of that party. This includes, but is not limited to, natural disasters, war, terrorism, pandemics, government actions, power outages, internet disruptions, or cyberattacks. The affected party shall notify the other party promptly and use reasonable efforts to mitigate the impact.
Skyvertex reserves the right to modify these Terms at any time. We will post the updated Terms on this page and update the “Last updated” date. For clients with active engagements, material changes will be communicated via email at least 30 days before they take effect. Continued use of our services after such changes constitutes acceptance of the revised Terms.
These Terms are governed by and construed in accordance with the laws of Romania, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms shall first be subject to good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within 30 days, it shall be submitted to the exclusive jurisdiction of the competent courts of Bucharest, Romania.
